Kavveri Defence & Wireless Technologies Promoter Stake Set to Rise to 45.20% as It Approves Samoro Telecoms Merger

 Kavveri Defence & Wireless Technologies Limited (BSE: 590041, NSE: KAVDEFENCE) has approved a Scheme of Amalgamation with Samoro Telecoms Private Limited, a move that will also significantly increase the promoter shareholding in the listed company.

The Board of Directors approved the proposed amalgamation at its meeting held on September 06, 2026, after considering the recommendations of the Audit Committee and Independent Directors. The proposed transaction will consolidate the businesses of Kavveri Defence & Wireless Technologies and Samoro Telecoms under a single corporate entity.

Under the proposed scheme, the promoter shareholding in Kavveri Defence & Wireless Technologies is set to increase from 24.56%, to 45.20% post scheme.

The public shareholding will reduce from 75.44% to 54.80% following the issue of shares under the merger. The total equity shares of the company will increase from 6,01,24,260 to 8,27,74,260.

The increase in promoter ownership gives the existing promoter group a substantially stronger position in the listed entity as the proposed merger brings Samoro Telecoms into Kavveri Defence & Wireless Technologies.

As part of the proposed merger, 453 fully paid-up equity shares of Kavveri Defence & Wireless Technologies with a face value of ₹10 each will be issued for every one fully paid-up equity share of Samoro Telecoms Private Limited with a face value of ₹10 each.

Samoro Telecoms is engaged in the manufacture of professional-grade microwave components for the telecommunication, defence and space industries, while Kavveri operates across microwave components, RF products, telecommunication equipment, wireless communication systems, defence electronics, aerospace and space technology solutions.

The proposed amalgamation is intended to consolidate the complementary businesses under one corporate entity and is expected to create business and operational synergies through the pooling of manufacturing capabilities, technical expertise, research and development, intellectual property, product portfolios and customer relationships. The announcement states that this is expected to improve operational efficiency, optimise resource utilisation and enhance growth opportunities.

The proposed scheme remains subject to approvals from the respective shareholders and creditors, as well as the requisite approvals and sanction of the jurisdictional bench of the National Company Law Tribunal, including approvals from stock exchanges or other competent authorities as may be directed by the NCLT.
